By-Laws of the Nutmeg
Division
|
Article
I:
|
Membership
and Dues
|
|
Section
1:
|
All
members in good standing of the Nutmeg Division shall be eligible to
vote on any business before a meeting of the division. In order to be a
member in good standing, a member must attend one meeting a year.
|
|
|
Section
2:
|
Members
shall pay no dues.
|
|
|
Section
3:
|
Friends
shall pay $2 per year to help defray the costs of printing and mailing
the Nutmeg Division's newsletter the "Nutmeg Flyer".
|
|
Article
II:
|
Membership
and Dues
|
|
Section
1:
|
All
meetings of the Nutmeg Division shall be scheduled by the Board of
Directors.
|
|
|
Section
2:
|
All
meetings of the Board of Directors shall be called by the President,
except that in the absence of any call by the President, the secretary
shall call a meeting upon the written request of one member of the
Board.
|
|
|
Section
3:
|
The
President shall preside at all meetings of the Nutmeg Division and of
the Board of Directors. In the absence of the President the directors
present shall elect a temporary moderator.
|
|
|
Section
4:
|
All
activities of the Nutmeg Division shall comply with the Constitution
and By-Laws of the Northeastern Region and of the National Model
Railroad Association.
|
|
|
Section
5:
|
Two
or more Directors shall constitute a quorum for any meeting of the
Board of Directors of the Nutmeg Division. In the event that a Board
Member cannot attend a meeting for a legitimate reason, he/she may
designate in writing another member in good standing of the Nutmeg
Division, the Northeastern Region and the National Model Railroad
Association to serve as proxy.

Article
III:
|
Officers
and Directors
|
|
Section
1:
|
The
Secretary shall keep a record of all meetings of the Nutmeg Division
and of the meetings of the Board of Directors. The Secretary shall keep
copies of all correspondence on behalf of the Division.
|
|
|
Section
2:
|
The
Treasurer shall have custody of all funds and property of the Nutmeg
Division. The Treasurer shall pay bills approved by the Board of
Directors, except that the payment of sums of $100 or less, may be made with written approval of the
President. The Treasurer shall report all receipts and expenditures to
the Board of Directors. If the Board of Directors approves an expenditure over $100, it automatically becomes
an authorization to pay for only the amount already authorized by the
Board of Directors.

Section
3:
|
All
officers and Directors of the Nutmeg Division shall serve until their
successors have been elected and qualified. The President may not serve
more than two consecutive terms.
|
|
|
Section
4:
|
The
Board of Directors shall fill all vacancies among the officers or on
the Board of Directors of the Nutmeg Division between the Annual
Meetings of the Division.
|
|
Article
IV:
|
Amendments
|
|
Section
1:
|
These
By-Laws may be amended at any Division meeting, by a two-thirds vote of
the ballots cast provided such proposed amendment has been submitted in
writing to the Board of Directors and approved by a two-thirds vote of
the Directors before the Division meeting. All members of the Nutmeg
Division shall be notified in writing by mail, prior to the meeting of
the proposed changes.

Section
2:
|
The
President shall appoint a constitutional committee every ten years to
review the constitution and by-laws and make recommendations for any necessary
changes thereto. The effective date of these By-Laws is the date
indicated below.
|
|
|
Section
3:
|
Should
the Nutmeg Division become inactive or cease to exist, any remaining
funds in the Treasury shall be distributed to the National Model
Railroad Association, Inc. [a 501(c)(3)
organization] or such other 501(c)(3)
organization as the Nutmeg Division determines pending the reactivation
or re-establishment of the Nutmeg Division.

The Constitution of the Nutmeg Division
|
Article
I:
|
Name
and Purpose
|
|
Section
1:
|
The
name of this organization shall be the Nutmeg Division of the
Northeastern Region of the National Model Railroad Association.
|
|
|
Section
2:
|
The
purpose of the Nutmeg Division shall be to foster model railroading
activities on the division level and to promote the objectives of the
Northeastern Region and the National Model Railroad Association.
|
|
Article
II:
|
Membership
|
|
Section
1:
|
Any
person who is a member of the National Model Railroad Association
(NMRA) and resides in the state of Connecticut with the
exception of Fairfield County shall be
considered a member in good standing of the Nutmeg Division. Any
person who is a member of the NMRA but does not reside within the
boundaries of the Nutmeg Division will also be considered a member in
good standing upon written request. Members shall be encouraged to
join the NER, though membership in the regional organization is not
required.

|
Section
2:
|
Any
person who is interested in model railroading but who is not a member
of the NMRA shall be considered a friend of the Nutmeg Division.
Friends of the Nutmeg Division may attend Division meetings, but may
not serve as an officer or director, or participate in any activity
requiring NMRA membership including but not limited to: contests,
Achievement Program, etc.

Article
III:
|
Meetings
|
|
Section
1:
|
There
shall be at least one business meeting of the Nutmeg Division each
year.
|
|
|
Section
2:
|
Fifteen
members or more shall constitute a quorum at any meeting of the
Nutmeg Division.
|
|
|
Section
3:
|
The
Annual Meeting of the Nutmeg Division shall be held within the first
quarter of the calendar year.
|
|
|
Section
4:
|
All
meetings of the Nutmeg Division shall be conducted according to the
current "Robert's Rules of Order".
|
|
Article
IV:
|
Government
|
|
Section
1:
|
The
government of the Nutmeg Division shall rest in the Board of
Directors of three members who shall be members in good standing of
the Nutmeg Division, Northeastern Region, and the National Model
Railroad Association.
|
|
|
Section
2:
|
One
Director of the Nutmeg Division shall be elected for a three year
term each year at the Annual Meeting of the Division.
|
|
|
Section
3:
|
There
shall be a president of the Nutmeg Division elected by the Board of
Directors from the Board of Directors, at the first Board Meeting
following the Annual Meeting.
|
|
|
Section
4:
|
The
offices of the Secretary and Treasurer of the Nutmeg Division shall
be appointed by the President of the Nutmeg Division and approved by
the Board of Directors.
|
|
Article
V:
|
Ammendment
|
|
Section
1:
|
This
constitution may be amended at any division meeting, by a two-thirds
vote of the ballots cast provided such amendment has been submitted
in writing to the Board of Directors and approved by two-thirds vote
of the directors before the division meeting. All members of the
Nutmeg Division shall be notified in writing by mail prior to the
meeting of the proposed change.
